1. The service
ShopStart provides software tools for print-shop operations, including business setup, pricing, quoting, invoicing, payments and accounts receivable, production, inventory, installation, customer communication, reporting and related workflows. We may improve, replace or discontinue features as the service evolves.
2. Accounts and authorized users
You are responsible for accurate account information, protecting credentials, assigning appropriate user roles, and activity performed by users you authorize. The standard ShopStart offer includes 10 total shop users: 1 Owner account and up to 9 staff accounts. Customer portal users are unlimited and do not count against those 10 shop users. You may not share credentials in a way that defeats account or role controls. Dealer, shop and PLS administrative accounts are separate permission surfaces.
3. Monthly trial and prepaid offer
The standard monthly ShopStart plan is $149 per month plus applicable taxes and includes an eligible 30-day trial with a valid payment method. The ShopStart subscription is charged $0 at the start of that monthly trial, and unless canceled before the trial ends, it continues at $149 per month until canceled. ShopStart may also offer a $1,490 prepaid term for 14 months. The prepaid term starts immediately, has no free trial, and does not automatically renew. Once ShopStart activates the prepaid term, the $1,490 prepaid payment is non-refundable and non-proratable except where a refund is required by applicable law. The $1,490 prepaid price does not promise a future renewal price. The authenticated checkout and billing screens control the actual plan, charge, trial dates, term dates, renewal status, and prepaid refund disclosure for the account.
4. No-card demo workspaces
PLS may issue a separate, time-limited demo workspace without a payment card. A demo is for evaluation, does not create a ShopStart subscription, may contain sample or temporary data, may have limited or resettable functionality, and may expire or be removed at the end of the stated demo period. A demo is not the standard 30-day trial. Starting the standard trial later requires the normal signup and payment-method process.
5. Fees, taxes and customer payments
Subscription fees are for use of ShopStart. Payments your customers make for your print-shop work are separate from the ShopStart software subscription and are governed by your connected payment account and your terms with your customer. You are responsible for taxes, fees, refunds, chargebacks and other obligations arising from your own sales except to the extent ShopStart expressly agrees otherwise in writing.
6. Your data and content
You retain ownership of the customer, job, artwork, pricing and business content you submit to ShopStart. You grant PLS the limited rights necessary to host, process, transmit, back up and display that content to provide, secure and improve the service. You represent that you have the rights and permissions needed to use the content and personal information you place in ShopStart.
7. Aggregated and de-identified information
PLS may use aggregated or de-identified operational information to operate and improve ShopStart, create industry benchmarks and understand product or industry trends, provided the information is not used to identify a shop, its customers or an individual where the information is represented as aggregated or de-identified.
8. Data access, export and deletion
Account owners may request available access, correction, export or deletion of account data through authenticated settings or ShopStart Support. Deletion may be delayed or limited where retention is reasonably necessary for security, fraud prevention, dispute resolution, financial records, legal obligations, backups or enforcement of these Terms. Applicable privacy rights are described in the Privacy Policy.
9. Acceptable use
You may not misuse the service; interfere with security or availability; attempt unauthorized access; bypass role, tenant or billing controls; upload malicious code; use the service to violate law or third-party rights; or use another shop’s, dealer’s or customer’s data without authorization.
10. Third-party services and integrations
ShopStart may interoperate with payment, hosting, storage, communications and other third-party services. Those services may have their own terms, privacy practices, fees and availability. PLS is not responsible for a third-party service to the extent an issue is caused by that third party rather than ShopStart.
11. Service availability, downtime and errors
PLS uses commercially reasonable efforts to keep ShopStart available, reliable and operating correctly. However, software and internet-based services cannot be guaranteed to operate without interruption, delay or error.
ShopStart may occasionally be unavailable, delayed or experience errors because of planned or emergency maintenance, updates, software defects, hardware failures, network or internet problems, hosting or third-party provider outages, security incidents, cyberattacks, utility failures, circumstances beyond PLS's reasonable control, or other technical issues.
PLS does not guarantee 100% uptime, uninterrupted access, error-free operation, loss-free operation, or that every feature, calculation, transmission, notification, automation or integration will always operate without delay or failure. Unless PLS separately agrees in writing to a specific service-level agreement, no uptime percentage, response-time commitment or service credit applies. PLS will use commercially reasonable efforts to identify and correct material service problems within its reasonable control.
12. Cancellation, suspension and termination
You may cancel as provided in the authenticated billing flow. Canceling or discontinuing use of an active 14-month prepaid term does not create a prorated refund; prepaid access remains available through the paid entitlement date unless access is lawfully suspended or terminated, subject to any refund right that applicable law requires. PLS may suspend or restrict access where reasonably necessary for nonpayment, security, abuse, legal compliance or material violation of these Terms. Where practical, we will provide notice and a reasonable opportunity to cure before terminating a paid account for a remediable breach.
13. Dealer-sponsored accounts
A dealer may sponsor or attribute a ShopStart trial. PLS may separately issue a no-card demo workspace. Dealer attribution does not give the dealer access to private shop operating data beyond the visibility authorized by the ShopStart dealer program and the shop’s permissions.
14. No professional advice, guaranteed business result or substitute for customer review
ShopStart helps organize business workflows, calculations, estimates, communications, reporting, scheduling and automation. It does not provide legal, tax, accounting or financial advice and does not guarantee profit, sales, margin, compliance, production quality or any particular business outcome.
You remain responsible for reviewing business-critical information before relying on it for pricing commitments, production, purchasing, payroll, taxes, contractual obligations, customer commitments or other material business decisions. Outputs may be affected by inaccurate or incomplete customer inputs, configuration choices, assumptions, third-party data, software errors or integration failures.
15. Disclaimer of warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, SHOPSTART IS PROVIDED “AS IS” AND “AS AVAILABLE.” PLS DISCLAIMS IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, EXCEPT TO THE EXTENT A WARRANTY CANNOT LEGALLY BE DISCLAIMED.
16. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, PLS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR BUSINESS INTERRUPTION, PRODUCTION DELAYS, MISSED DEADLINES, CUSTOMER CLAIMS, LOST SALES, LOST PROFITS, LOST REVENUE, LOST BUSINESS, LOST BUSINESS OPPORTUNITY, LOST GOODWILL OR LOST DATA, ARISING OUT OF OR RELATING TO SHOPSTART, INCLUDING DOWNTIME, INTERRUPTED ACCESS, SOFTWARE ERRORS, CALCULATION ERRORS, DELAYED PROCESSING, FAILED OR DELAYED NOTIFICATIONS, FAILED AUTOMATIONS, FAILED INTEGRATIONS OR OTHER SERVICE INTERRUPTIONS.
TO THE FULLEST EXTENT PERMITTED BY LAW, PLS'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO SHOPSTART WILL NOT EXCEED THE AMOUNTS YOU PAID TO PLS FOR SHOPSTART DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; FOR A FREE OR DEMO ACCOUNT THAT HAS PAID NO SHOPSTART FEES, THE CAP IS $100. THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY AND EXCEPT WHERE LAW DOES NOT ALLOW THE LIMITATION OR EXCLUSION.
17. Indemnification
To the fullest extent permitted by law, you agree to defend, indemnify and hold harmless PLS and its officers, employees and contractors from third-party claims, damages, liabilities, costs and reasonable attorneys’ fees arising from your content, your customer transactions, your misuse of ShopStart, or your violation of law, third-party rights or these Terms, except to the extent caused by PLS’s own unlawful conduct.
18. Governing law
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws principles, except to the extent federal law or another mandatory law applies. Any dispute must be brought in a court with proper jurisdiction and venue under applicable law unless the parties agree to another lawful dispute-resolution process.
19. Changes to these Terms
We may update these Terms as ShopStart changes. Material changes will be identified by an updated effective date and, where required, additional notice or acceptance. Continued use after an effective update is subject to applicable law and any required consent.
